1. Acceptance of Terms

By accessing or using Raise2Spin ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Platform.

2. Description of Service

Raise2Spin is a fundraising campaign platform that enables organizations to create spin-to-win incentive campaigns. Campaign organizers can set up prizes, generate spin codes for donors, and manage winner notifications.

3. Account Responsibilities

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Conduct fraudulent fundraising activities
• Send spam or unsolicited communications
• Impersonate any person or organization
• Interfere with or disrupt the Platform's operations
• Attempt to gain unauthorized access to our systems
• Collect user data without consent

5. No Payment Processing

Raise2Spin does not process donations, payments, or financial transactions of any kind. We are a spin-to-win incentive platform only. All donations are handled directly between donors and campaign organizations through their chosen payment processors. We have no access to, and bear no responsibility for, any financial transactions.

6. Sweepstakes and Gaming Compliance

Campaign organizers are solely responsible for ensuring their campaigns comply with all applicable federal, state, and local sweepstakes, lottery, and gaming laws in their jurisdiction. This includes but is not limited to:

• Registering sweepstakes where required by law
• Providing official rules and disclosures
• Ensuring no purchase is necessary to enter (where required)
• Complying with prize value reporting and tax requirements
• Obtaining any required bonds or registrations

Raise2Spin provides the technology platform only and makes no representations about the legality of any specific campaign structure. We strongly recommend consulting with legal counsel before launching any campaign.

7. No Guarantee of Prizes

Raise2Spin does not guarantee that any participant will win a prize. Prize availability, odds of winning, and prize fulfillment are determined entirely by campaign organizers. We are not responsible for the availability, quality, delivery, or fulfillment of any prizes offered by campaign organizers. Any disputes regarding prizes must be resolved directly with the campaign organizer.

8. Third-Party Integrations

When you connect third-party services (such as Gmail for sending notifications), you authorize us to access and use those services on your behalf as described in our Privacy Policy. You are responsible for complying with the terms of those third-party services.

9. Intellectual Property

The Platform and its original content, features, and functionality are owned by Raise2Spin and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you upload to the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, Raise2Spin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.

We are not responsible for the success or failure of any fundraising campaign, the delivery of prizes by campaign organizers, or disputes between campaign organizers and participants.

11. Indemnification

You agree to indemnify, defend, and hold harmless Raise2Spin and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your campaign content or prize fulfillment
• Your violation of any applicable laws, including sweepstakes and gaming laws
• Any claims by third parties related to your campaigns

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

13. Force Majeure

Raise2Spin shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, power outages, internet or telecommunications failures, or cyberattacks.

14. Limitation on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

15. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting a notice on the Platform or sending you an email. Your continued use of the Platform after changes constitutes acceptance of the new Terms.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of such courts.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
